Organic Structure
- GENERAL ASSEMBLY
It is the supreme organ of Resnatur. Its agreements and determinations are mandatory for all the associates whenever they have been adopted according to the legal and statutory norms. The General Assembly constitutes the meeting of all the associates being the minimum quorum valid to session, the attendance of half plus one of the active associates. The associates are classified in:- Founders: those who signed the Constitution Act of Resnatur. They will enjoy all the rights and obligations as associates as long as they remain active.
- Active associates: all those (natural or legal people) owners, possessors, occupants and/or articulators of Natural Reserves of the civil society who, having been admitted by the Board of directors, conserve their right to voice and vote, exert their rights and duties and to contribute in the fulfillment of the social objective of Resnatur. Indigenous and black communities can also be associates if they declared the whole or the part of their territories legally adjudged or recognized by the State, as Natural Reserve of the civil society. They must also have been admitted by the Board of directors.
- Local Groups of Heirs of the Planet: all those Local Groups of Heirs that have been accepted by Resnatur, as part of the intergenerational relief strategy. They will have right to voice and (1) one collective vote, through his national spokesman. They will be able to participate and to collaborate in the plans, programs and projects of Resnatur, and can be elected or elect. The Board of directors and the Heirs will regulate the procedures in the navigation chart of the respective program.
- Benefactors: the natural or legal people who have settled down agreements with Resnatur on cultural, financial, technical, scientific, research, or informative collaboration or similar, and who by this fact, in opinion of the Board of directors deserve to be recognized as associates. They will have voice but no vote, and will be able to participate or collaborate in the plans, programs and projects of Resnatur, as well as the fulfillment of the social object of Resnatur.
- Honorary associates: all those natural or legal people who by their merits are declared as such by the General Assembly or the Board of directors, by means of a motivated act. They will have voice but no vote, and will be able to participate or to collaborate in the plans, programs and projects of Resnatur, as well as the fulfillment of its the social objective.
The effective Statutes contemplate to the rights and duties of the associates.
The rights of the associates are:
- To be informed and to participate themselves or by delegation, in the diverse deliberations and instances of Resnatur, with voice and vote.
- To enjoy the services offered by Resnatur.
- To participate in the plans, programs and projects of Resnatur.
- To review account books and financial statements of the organization with the fiscal reviewer, according to the legal dispositions that regulate this matter.
- To elect, to be elected and to propose candidates for the positions according to the requirements.
- To join local and/or regional nodes.
The duties of the associates are:
- To fulfill the law, and these statutes, their regulations and agreements.
- To contribute, support and stimulate the success of the plans, programs and projects of Resnatur.
- To fulfill the commitments derived from the acceptance of a position or mission.
- To provide the necessary information to Resnatur required for the fulfillment of its social objective.
- To watch over the good operation of Resnatur.
- To vote, by themselves or a delegate, when it corresponds to them to do it according to the legal and statutory norms.
- To timely take care of the payment of quotas and other work obligations acquired with Resnatur.
THE LOCAL AND/OR REGIONAL NODES
A node is created by two more Natural Reserve of the civil society associated to Resnatur, that work to strengthen their interaction, their communication and joint effort, regarding territorial or vicinity factors ,or other common interests around the protection or conservation of the biological and cultural diversity. The nodes will be local if the Reserves are within the jurisdiction of a same municipality, and regional if the Reserves are located in jurisdiction of two or more municipalities or departments.
BOARD OF DIRECTORS
It is the permanent control element, subordinate to the directions provided by the Assembly. The Board of directors of Resnatur directs the application of general policies determined by the General Assembly. Its members are elected by the Assembly, by means of open lists, for periods of two (2) years. It is composed by ten members: five (5) main and five (5) substitutes.
EXECUTIVE DIRECTION
Holds the legal representation of Resnatur. It is designated by the Board of directors for indefinite term, is responsible to represent Resnatur in judicial and extrajudicial matters, and to confer special mandates in judgments and processes. The Executive Direction jointly with the technical and administrative staff and the board of directors, coordinate and actively organize the process of the organization.
Resnatur has a Fiscal Reviewer and its respective substitute, chosen by the General Assembly through uninominal voting. This position is filled by public accountants with effective registration, who are not members of the organization.
TECHNICAL UNIT
Applies and adapts recognized, dynamic and flexible techniques in the planning, management and control process related to the legislation and environmental policy; the environmental education; the recovery, conservation and production; the communication; and the monitoring, all in pursuit of the fulfillment of the mission and objectives of the organization
ADMINISTRATIVE UNIT
Manages the financial, physical and human resources of Resnatur.
